Forward Water Technologies Corp. Announces Share Consolidation Effective Date
Forward Water Technologies Corp. (TSXV: FWT) (FWT or the Company) is pleased to announce that the previously announced consolidation of its common shares (the Common Shares) on the basis of (1) post-consolidation Common Share for every 5 pre-consolidation Common Shares (the Consolidation) will be effective on August 12, 2021 (the Effective Date).
The Consolidation was approved by the shareholders of the Company at its annual and special meeting held on June 30, 2021. As a result of the Consolidation, the number of issued and outstanding Common Shares will be reduced to approximately 14,028,014 Common Shares.
In connection with the Consolidation, the Company’s name will not change and the Common Shares will continue to trade on the TSX Venture Exchange under the same symbol FWT.
After the Consolidation, the Company’s transfer agent, Computershare Investor Services Inc., will send letters of transmittal to the registered holders of Common Shares. The letter of transmittal will contain instructions on how registered shareholders can exchange their old share certificates for new share certificates reflecting the Consolidation.
Shareholders who hold their Common Shares through a broker or other nominee will not be required to take any action with respect to the Consolidation as the broker or nominee will exchange the old share certificates on their behalf.
Once the Consolidation becomes effective on the Effective Date, the Common Shares will have a new CUSIP number, Y3551A202, and ISIN number, CA35671W1032.
It is important to note that the Consolidation will not affect the rights of the Company’s shareholders and will not change the proportionate ownership or voting power of the shareholders. Each shareholder’s percentage ownership in the Company will remain unchanged as a result of the Consolidation.
